CV stands for "Commanditaire Vennootschap" (or Persekutuan Komanditer in Bahasa Indonesia), which is a limited partnership business entity. A CV is a form of partnership where there are two types of partners: active (managing) partners and silent (limited liability) partners. This structure allows entrepreneurs to start businesses without forming a full-fledged company like a PT (Perseroan Terbatas), which is a more formal and complex entity.
REQUIREMENTS:
A CV must have at least 2 partners: Active Partner: Manages the business and has unlimited liability. Silent Partner: Provides capital but does not manage day-to-day operations and has limited liability.
Nationality: Both partners must be Indonesian citizens or Indonesian legal entities. Foreigners cannot own or invest in a CV.
Deed of Establishment: Draft a Deed of Establishment through a notary, which must specify the roles of both the active and silent partners.
Registered Office: A legal office address in Indonesia is required. Business Activities: You must define the business activities according to the KBLI (Indonesian Standard Business Classification).
Minimum Capital: No specific capital requirement exists for CVs, but it depends on the type of business activities. Licenses: Register through the OSS system to obtain the NIB and necessary operational permits.
